PUBLIC OFFER AGREEMENT

This contract is an official and public proposal (offer) of the Contractor, guided by Art. 633, 641 of the Civil Code of Ukraine, conclude an Agreement on the provision of web development, search engine optimization (SEO) and marketing services on the terms set forth below.

1. DEFINITION OF TERMS

1.1. Executor is A.V. Perepelitsa FOP, acting in accordance with the legislation of Ukraine.
1.2. Customer is any able-bodied individual or legal entity that has accepted this offer.
1.3. Services — site development services, technical support, SEO promotion and other digital services, the list of which is posted on the Site.
1.4. Acceptance is full and unconditional acceptance of the terms of the Offer by the Customer by paying for the Services or placing an order on the Site.

2. SUBJECT OF THE CONTRACT

2.1. The Contractor undertakes to provide Services in accordance with the Customer's order, and the Customer undertakes to accept and pay for these Services under the terms of this Agreement.

3. SERVICE PROCEDURE

3.1. The provision of services is carried out on the basis of a briefing, technical terms of reference (TOR) or an agreed list of works between the Parties.
3.2. The terms of performance of work are agreed by the Parties individually for each order and fixed in electronic correspondence or annexes to the Agreement.

4. COST OF SERVICES AND CALCULATION PROCEDURE

4.1. The cost of the Services is determined by the Contractor based on the price lists posted on the Site, or is calculated individually depending on the complexity of the project.
4.2. Payment for the Services is made in the national currency of Ukraine (hryvnia) to the current account of the Contractor on the terms of 100% prepayment or installment payment upon agreement of the Parties.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The contractor undertakes to provide quality services and within the agreed terms.
5.2. The customer undertakes to provide textual, graphic and other materials necessary for the performance of work in a timely manner and to make payment in full.

6. LIABILITY OF THE PARTIES AND RESOLUTION OF DISPUTES

6.1. The Parties are responsible for non-fulfillment or improper fulfillment of obligations under this Agreement in accordance with the legislation of Ukraine.
6.2. All disputes and disagreements are resolved through negotiations. In case of impossibility of reaching an agreement - in the court procedure according to the established jurisdiction.
